Terms and Conditions

Privu Ltd

Last updated: 16 October 2026

1. About Privu and these terms

Privu is provided by Privu Ltd, registered in England and Wales with company number 16778753. Our registered office is 6 Sperrinks Close, Gazeley, CB8 8FQ. You can contact us at support@privu.co.uk

These terms apply to organisations and individuals subscribing to Privu, including angel investors, advisers and other users researching private companies.

Individual is our single-user entry plan and is available for personal or business research.

Professional, Team and Enterprise are offered for business and professional use only. To purchase one of those plans, you must confirm that you are subscribing wholly or mainly for purposes relating to your trade, business, craft or profession, or on behalf of an organisation for its business purposes. You must identify the contracting individual or organisation accurately and have authority to act for it.

The name of a plan does not determine your legal status. A sole trader or individual consultant may be a business customer; an individual researching investments for personal purposes may be a consumer. You must not represent yourself as a business customer if that does not reflect the purpose of your purchase.

You are a business customer if you subscribe for purposes mainly relating to your trade, business, craft or profession. You are a consumer if you are an individual subscribing for purposes wholly or mainly outside those activities. Additional consumer protections are set out below. Nothing in these terms excludes or limits your mandatory statutory rights.

By accepting these terms at checkout, you agree to them. If you subscribe for an organisation, you confirm that you are authorised to enter into this agreement on its behalf. Your agreement consists of these terms and the plan details, billing frequency, price, allowances and discounts shown at checkout, together with any variations expressly agreed in writing before purchase. An expressly agreed variation takes priority over these terms if there is a conflict.

2. Access and accounts

Your subscription starts when your first payment succeeds. Your monthly or annual subscription period and renewal dates are calculated from that date. If you do not already have access, we will activate it within two business days. If we cannot supply your subscription, we will refund your payment.

If you are a consumer, we will obtain your express request at checkout for access to begin during the initial 14-day cancellation period. Starting access does not remove your cancellation and full-refund rights under section 4. If you wish to arrange a later start date, please contact us before purchasing.

You may use Privu within your plan's user numbers, features and usage allowances. Each user must have their own login. You are responsible for users on your subscription, keeping login details and MCP connection links, tokens and credentials secure, and notifying us promptly of suspected unauthorised access. Do not share these with anyone who is not an authorised user, publish them, or place them in a public repository. An authorised connection to a supported AI provider is permitted under section 6.

You must provide accurate account, identity and billing information and keep it up to date. You must not impersonate another person or organisation, conceal the identity of the customer, or create accounts for the purpose of evading restrictions.

Your subscription includes the current functionality, user numbers and allowances described for your plan at purchase. The Individual plan does not include Model Context Protocol (MCP) access, bulk data supply or a right to export or download datasets. Professional, Team and Enterprise include eligibility for MCP access within the allowance stated at purchase, subject to activation, supported connections and the MCP requirements in section 6. Any export feature is included only where expressly described for your plan. These rights do not permit unrestricted extraction or reuse of the dataset.

Advanced person or shareholder-led search, enhanced notifications and other developing features are included only when available and expressly described for your plan at purchase. Future features and roadmap dates are not guaranteed deliverables unless expressly agreed in writing. We will not withdraw a feature forming part of your agreed core functionality during a paid period without following sections 5 and 8.

Individual subscriptions are separate single-user accounts and cannot be pooled to obtain shared organisation access or higher-tier features. Additional Professional or Team licences may be combined within one organisation where agreed with us, with the combined allowances confirmed before purchase. A public customer API, bespoke integrations and bulk data licences are not included unless expressly agreed in writing. The web application's use of internal technical interfaces does not grant you a separate right to access those interfaces directly.

Free access or a trial does not convert into a paid subscription unless you have expressly agreed to the price, billing frequency, start date and these terms. Any trial-specific conditions will be stated when the trial is offered.

Business days means Monday to Friday, excluding public holidays in England and Wales.

3. Subscription periods and payments

Monthly subscriptions: Your subscription runs for one month and automatically renews for successive one-month periods unless cancelled before the next renewal date. Fees are payable monthly in advance. There is no minimum 12-month commitment for a monthly subscription.

Annual subscriptions: Your subscription runs for a minimum term of 12 months, paid annually in advance. It automatically renews for further 12-month terms unless cancelled before the next renewal date. Each annual term runs for 12 months from your subscription start date or its anniversary.

Your billing frequency, price and any expressly agreed discount are shown at checkout. No general Beta or early-user discount applies unless we expressly offer one to you. If we agree a discount, its amount, duration and the price payable when it ends will be confirmed before purchase. Prices exclude VAT unless stated otherwise; applicable VAT is shown at checkout.

For consumers, the total price including applicable VAT will be displayed before purchase.

You authorise Stripe to collect the agreed recurring payments on our behalf. Keep your payment details up to date. If payment fails, we may retry it and will notify you. We may suspend access if payment remains unpaid seven days after written notice. Suspension does not waive amounts properly due.

Your base price is fixed for each paid subscription period. Price changes apply at renewal only, with at least 30 days' written notice. If we give less notice, the change will take effect at the first renewal occurring at least 30 days after that notice. Changes to statutory taxes may take effect when required by law.

Plan changes must be agreed with us. We will confirm any resulting change to fees, allowances, billing frequency or renewal date before the change takes effect. An upgrade does not restart an annual commitment unless you expressly agree to it.

4. Cancellation and renewal

You can cancel at any time by emailing support@privu.co.uk  with your account details, or using any cancellation facility we make available for your subscription. We must receive your cancellation before the next renewal date to prevent renewal. No separate advance notice period is required.

For a monthly subscription, cancellation takes effect at the end of your current paid month. For an annual subscription, cancellation takes effect at the end of your current paid 12-month term. Access continues until that date unless the agreement ends earlier under section 8.

We will confirm your subscription end date. A valid cancellation notice does not depend on our acknowledgement. Stopping payments or not using Privu does not cancel your subscription. We do not provide refunds simply because you choose not to use the service or cancel partway through a paid period. This does not affect refunds expressly due under these terms or applicable law.

For annual subscriptions, we will send a renewal reminder at least 30 days before renewal. If we send it late, you may cancel within 30 days of receiving the reminder, effective immediately, and we will refund the unused portion of the renewed annual fee. If we do not send a reminder, this cancellation right remains available during the renewed term until 30 days after we send one.

Individual plan initial refund promise: When you first purchase an Individual subscription, you may cancel without giving a reason by sending us a clear cancellation notice before the end of 14 days beginning with the day after you enter into the agreement. We will refund the full initial subscription payment, whether you chose monthly or annual billing, including where you have already used Privu. This promise applies to Individual subscribers whether they are business customers or consumers. It does not restart on each monthly renewal, plan change or return to the service after an earlier subscription. It does not limit any cancellation or refund right you have under law.

Business subscriptions: Professional, Team and Enterprise subscriptions are offered for business and professional use as described in section 1. Business customers do not receive the Individual plan refund promise or consumer cooling-off rights merely because an authorised user is an individual. Apart from refunds due under these terms, applicable law or a separate written agreement, business subscriptions are not refundable for a change of mind. Their ordinary monthly or annual cancellation arrangements remain as described above.

To exercise these rights, email support@privu.co.uk  or use any available cancellation facility. A clear statement of your decision to cancel is sufficient. These cancellation procedures also apply to the Individual plan initial refund promise. A cancellation notice sent within the relevant 14-day period is in time even if we receive it later. Cancellation takes effect when you notify us and access will then end. We will refund you without undue delay and within 14 days of receiving notice, using your original payment method unless you expressly agree otherwise, without a refund or payment-processing fee.

5. Availability and development

We will provide Privu with reasonable care and skill and use reasonable efforts to maintain availability. Access may occasionally be interrupted by maintenance, updates, technical faults or third-party service failures. We will give reasonable advance notice of planned maintenance where practicable and use reasonable efforts to restore access promptly.

Unless separately agreed, we do not guarantee uninterrupted access or a particular uptime percentage. Temporary interruptions do not automatically entitle you to a refund or service credit. This does not affect your rights under section 8 if we materially fail to provide the service.

You are responsible for your device, browser and internet connection. We are not responsible for access problems caused by them. We may improve and change Privu, but will not materially reduce your agreed core functionality during a paid subscription period without your agreement or the remedy in section 8.

Core functionality means the principal features included in your plan and described at purchase, excluding future features and roadmap commitments.

6. Information, permitted use and intellectual property

THIS SECTION IS FUNDAMENTAL TO THESE TERMS. PLEASE READ IT CAREFULLY.

Information and accuracy

Privu uses public records, third-party sources and automated extraction and analysis. Information may be inaccurate, incomplete or delayed, including because of errors in source filings, extraction or calculation. Updates are processed periodically, and we do not guarantee immediate reflection of changes at source. Coverage of a company does not mean every filing or data field has been extracted or verified. Filing-derived valuations are not necessarily current market valuations or independent valuation opinions.

Privu provides information, not investment, financial, legal or tax advice. Check relevant source documents and obtain appropriate advice before making important decisions. You remain responsible for your decisions and applicable professional or regulatory obligations.

Permitted use

You may use Privu for your own lawful research, investment analysis and professional work, within your plan. You may include limited extracts necessary to support your own analysis in internal work or client reports or advice. Those extracts must be incidental to the analysis or advice and must not amount to a bulk data supply, reusable company database or substitute for Privu. You may retain those reports after your subscription ends, subject to the source licences and privacy law that apply.

Where your plan includes MCP or an export feature, you may use that feature for the same permitted purposes within its stated allowance. Receiving data through a permitted feature does not transfer ownership of Privu or grant an unrestricted right to store, redistribute, commercialise or extract the dataset. A report or AI response cannot be used to bypass these restrictions by presenting a bulk dataset as an analytical output.

Intellectual property

We and our licensors retain all applicable intellectual property rights in Privu, including its software, algorithms, proprietary extraction methods, user interface, design, branding, original analysis and protected database structure. During your subscription, we grant you a limited, non-exclusive, non-transferable right to access and use Privu in accordance with your plan and these terms.

Underlying public and third-party information remains subject to its own rights and licences. These terms do not restrict rights you independently hold in that information. Your rights in content you enter into Privu are addressed in section 7.

Restrictions on access and data extraction

Except as expressly permitted by these terms, separately authorised by us in writing or permitted by law, you must not, or allow another person or an AI system acting for you to:

(a) share logins or connection credentials, bypass plan limits or access controls, introduce malicious code, interfere with the service or attempt unauthorised access;

(b) copy, reverse engineer, decompile or disassemble the software, or attempt to obtain its source code;

(c) scrape, crawl, harvest, systematically retrieve or bulk extract data from Privu, including through the website, search results, company records, exports, MCP responses or internal technical interfaces;

(d) use scripts, bots, browser automation, repeated AI prompts or agents, sequential company queries or coordinated accounts to retrieve records systematically, reconstruct all or a substantial part of the dataset, or repeatedly extract small portions that together have that effect;

(e) create or maintain a separate searchable database, data warehouse, vector index, mirror, cache or ongoing data feed populated from Privu, except for limited working copies reasonably necessary for permitted analysis or an expressly agreed integration;

(f) resell, sublicense or redistribute access or data, expose Privu through your own product, connector, API or data service, provide access to unauthorised users, or make a substitute for the service;

(g) use data or outputs obtained through Privu to build or populate a competing database, product or service, or to train or fine-tune an AI model. Ordinary inference through a supported AI connection is permitted under the MCP provisions below;

(h) circumvent usage metering or rate limits, rotate identities or accounts to avoid them, or disguise automated extraction as ordinary browsing or research; or

(i) remove or obscure copyright, trademark, attribution or other proprietary notices.

These are contractual conditions of access to Privu and data obtained through it. They apply whether the data arrives through the app, MCP or another authorised delivery method, and not only to software or information independently protected by intellectual property rights. They do not restrict rights you independently hold in information obtained separately from Companies House or another lawful source, override applicable source licences, or prevent the limited extracts in reports and advice permitted above.

Fair use and technical controls

We may monitor service usage for security, service operation and enforcement of agreed allowances, as explained in our Privacy Notice. We may apply proportionate request-rate limits and other controls to prevent automated harvesting, account abuse or activity that materially disrupts the service. Where search is described as unlimited, that means ordinary interactive research subject to these restrictions; it does not mean unlimited automated requests or a right to download the dataset.

Plan-specific allowances, including MCP allowances, will be stated before purchase. An allowance is a maximum permitted volume for otherwise authorised use, not permission to carry out prohibited extraction. Any Privu usage units described as credits or tokens measure use of Privu and may differ from the tokens or charges used by your AI provider. We will explain the applicable unit, allowance and reset period before purchase. We will not charge for excess usage without your express agreement.

If activity reasonably indicates misuse or threatens the service, we may throttle requests, require verification or suspend the affected access as set out in section 8. Where reasonably practicable, we will explain the reason and provide a way to resolve a mistaken restriction. These controls do not allow us to materially reduce an agreed paid allowance without following sections 5 and 8.

MCP access and AI-assisted use

MCP access connects Privu to a supported third-party AI service for authorised users on an eligible subscription. Before activation, you must separately accept the MCP acknowledgements below. You must use the supported connection method and keep access within your organisation's authorised users and agreed allowance. MCP does not include an unrestricted API, a bulk data licence, a right to build a retrieval pipeline or permission to extract data for later reuse beyond the permitted purposes above.

You are responsible for arranging access to your chosen AI provider and paying its charges. That provider's terms and privacy arrangements apply to its service. Information returned through MCP may be transmitted to, processed by and retained by that provider. Before connecting, check its settings and your authority to send company data, personal information, watchlist content or other confidential material to it. Use available controls to prevent Privu data being used for model training or exposed to unauthorised people. If your chosen arrangement cannot comply with these terms, do not use it for the connection.

An AI system may misinterpret your request, select incomplete search criteria, omit relevant companies, perform calculations, combine Privu data with other sources or generate inaccurate or unsupported statements. A response saying that it used Privu does not mean that Privu generated, checked or endorsed the whole response. Privu remains responsible for its own service as set out in these terms; responsibility for the third-party AI provider's service remains subject to the applicable law and its own terms.

Check source filings, dates, coverage, adjustment notes and the AI system's reasoning before relying on an output or sharing it with a client. Adjusted valuations and calculated financial measures are estimates or derived figures, not independent valuations, audited accounts or advice. Do not assume that missing data means a fact does not exist or that a query has searched every relevant record.

Where available, watchlists may be read through MCP. Changes to watchlists must be made in the Privu app unless we expressly enable a supported editing feature. Do not attempt to use an AI agent to bypass that restriction.

Temporary processing and retention of limited data in a supported AI conversation for permitted analysis are allowed. They do not authorise building a persistent indexed collection, bulk download or onward data service. Ending your subscription does not turn previously retrieved data into a separately licensed dataset. Permitted reports and any rights in independently obtained source material remain as described above.

MCP acknowledgements

Before activation, you must actively confirm that you understand:

  • Privu data can contain source, extraction and calculation errors or gaps. You must check relevant underlying documents before important decisions.

  • The connected AI service is a separate provider. Its searches, calculations and conclusions may be incomplete or wrong, and the information you send it is handled under that provider's arrangements.

  • MCP is for permitted research within your plan. It must not be used to harvest, copy, redistribute or recreate the dataset, or bypass access and usage limits.

We will record the accepting user's identity, the acknowledgement version and the date and time of acceptance. These acknowledgements do not exclude our responsibility to provide the service with reasonable care and skill or override mandatory statutory rights.

Source licences and attribution

Where source information is made available under the Open Government Licence v3.0, it is used subject to that licence:

“Contains public sector information licensed under the Open Government Licence v3.0.”

The licence is available at Open Government Licence v3.0. Any reuse must comply with applicable attribution requirements. The licence does not cover personal data or third-party rights that the information provider is not authorised to license.

Privu is not endorsed by Companies House or any other source provider.

7. Your content and privacy

You retain ownership of content you enter into Privu, including custom valuations and notes. You give us a non-exclusive licence to store, process and display that content as necessary to provide and support the service. You must have the rights needed to supply it and must not upload unlawful content.

We will not publish your entered content or include it in shared crowd valuations without your separate agreement. Content may be available to authorised users within your subscription where the relevant feature supports team sharing. If an authorised user connects your subscription to an AI provider, content exposed through supported MCP features may also be processed by that provider as described in section 6. You are responsible for deciding which authorised users may make that connection on your behalf.

Our Privacy Notice at https://www.privu.co.uk/privacy explains how we handle personal information relating to accounts, subscription administration and use of the service. You must comply with applicable privacy law when using personal information obtained through Privu.

The restrictions on dataset extraction do not prevent you requesting a copy of your own entered content or exercising applicable personal data rights. They do not create a right to receive a bulk export of Privu-supplied company data.

Access to saved watchlists and entered content ends when your subscription ends. If you need a copy, use any available export features or contact us before your subscription ends to discuss available options. We do not guarantee a particular export format or custom migration service. Subsequent retention and deletion of personal information are explained in our Privacy Notice.

Valuation overrides: Any valuation you manually enter or override currently affects only the valuation displayed within the Privu app’s company views and watchlists. It does not change the underlying valuation used for searches, search filters or results, or data supplied through Model Context Protocol (MCP) access.

8. Problems, suspension and early termination

Contact support@privu.co.uk  if you experience a problem so we can investigate.

Either party may end the agreement for a material breach that is not resolved within 30 days of written notice, or immediately where it cannot be remedied. We may suspend access, including an MCP connection, where reasonably necessary to address security threats, unlawful use, suspected systematic extraction, circumvention of limits or other serious misuse, and will explain the reason where lawful and practicable. We will restore access when the reason for suspension has been resolved, unless the agreement has ended.

You may also end the agreement if we permanently discontinue Privu or materially reduce your agreed core functionality and do not provide a reasonable remedy within 30 days of your written notice.

If you validly end the agreement because of our breach, or we end it without your breach, no future subscription fees are due and we will refund prepaid fees for unused periods. If we end it because of your breach, accrued fees remain due and other remedies available under law may apply.

If an event outside our reasonable control prevents us providing the core service for more than 30 consecutive days, you may end the agreement without future fees. We will refund prepaid fees for the period when the core service was unavailable and for unused periods after termination.

Access ends when your subscription ends. Rights and obligations accrued before that date remain unaffected. The restrictions on onward use, redistribution, database reconstruction and AI training of data obtained through Privu, and the intellectual property and liability provisions, continue after the subscription ends to the extent relevant. This does not extend the licence to use the service or restrict independently held rights in public source material.

9. Liability

Nothing in these terms limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or anything that cannot lawfully be limited.

Business customers: Subject to the paragraph above, we are not liable for indirect or consequential losses, or loss of profit, revenue or business opportunity. Our total aggregate liability arising out of or in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of £1,000 and the subscription fees paid or payable for the 12 months immediately before the event giving rise to the claim. This does not limit refunds expressly due under these terms. These limitations apply only where lawful and reasonable.

Consumers: The business-customer exclusions and liability cap above do not apply to you. We are responsible for loss or damage you suffer that is a foreseeable result of our breach of this agreement or failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it could happen or both you and we knew it might happen when the agreement was made. Your statutory rights remain unaffected, including rights concerning services supplied without reasonable care and skill, faulty digital content and damage caused by defective digital content. You may have rights to repeat performance, repair, replacement, a price reduction, a refund or compensation, depending on the circumstances.

10. Changes and other terms

Material changes to these terms during a paid subscription period require your agreement unless required by law. Other material changes may apply at renewal with at least 30 days' written notice, allowing you to choose not to renew. If notice is late, the changes will apply at the first renewal occurring at least 30 days after notice unless you expressly agree otherwise. Changes do not apply retrospectively.

We will send contractual notices to your account email. You may not transfer your subscription without our agreement. We may transfer this agreement as part of a business sale, provided your rights are not materially reduced, and will notify you.

If a provision cannot be enforced, the remaining terms continue to apply. A delay in exercising a right does not waive it. No third party has a right to enforce this agreement under the Contracts (Rights of Third Parties) Act 1999. These terms and your agreed plan details form the entire agreement, without excluding liability for fraud or fraudulent misrepresentation.

The laws of England and Wales apply. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory legal rights that apply to you.

If you are a consumer living elsewhere in the UK, you may also bring proceedings in the courts of the part of the UK where you live. If you live outside the UK, any mandatory consumer protections and jurisdiction rights applicable in your country of residence remain unaffected.
